FIRST PARAGRAPH . The EQUIPMENT object of sale corresponds to EQUIPMENT for dental use to magnify and illuminate the field of vision, which were chosen by THE BUYER according to the special technical conditions of the same.

SECOND PARAGRAPH . The value of the EQUIPMENT does not include installation or adjustments for its assembly. The SELLER will not be liable for errors that THE BUYER and his staff may make in the interpretation of the characteristics of the EQUIPMENT, its improper selection, or of its particular conditions and characteristics, which are completely assumed by THE BUYER.

THIRD PARAGRAPH . THE PURCHASER declares that he has sufficient capacity and knowledge for the proper use of the EQUIPMENT, and consequently assumes responsibility for its improper use, including the responsibility for the damages that it may eventually cause to third parties due to its incorrect or improper use.

FOURTH PARAGRAPH . THE PURCHASER declares that he acquires the EQUIPMENT for his own use, and consequently expressly undertakes not to sell them to third parties as a distributor or marketer thereof. In the event that THE BUYER markets THE EQUIPMENT, he will assume in full and integrate the responsibility for quality and proper use of the same which includes the responsibility for the damages that may eventually be caused to the final consumers of the same for the lack of information or instructions regarding such EQUIPMENT, as well as any judgment of responsibility and eventual condemnation in damages to which THE BUYER is submitted for the authorized sale of said EQUIPMENT.

FIFTH PARAGRAPH. In the event that the buyer requires, for any reason, a training, he must cancel the price indicated for that purpose by THE SELLER in addition to assuming the respective expenses of transport and accommodation.

SIXTH PARAGRAPH: TECHNICAL SERVICE, PARTS AND SPARE PARTS.- Once the guarantee offered has expired, THE PURCHASER undertakes to acquire the parts and spare parts of THE EQUIPMENT only from the SELLER, or of the distributors authorized for this purpose. The purchase of the parts, spare parts and accessories of unauthorized persons, will result in the absence of guarantee regarding them and consequently, THE BUYER assumes the risks that are caused for such reason.

PARAGRAPH SEVENTH: RESERVATION OF THE DOMAIN: The tradition of the EQUIPMENT object of the present contract is subject to the suspensive condition of the total payment of the agreed price. In the event that the delivery of the EQUIPMENT to THE PURCHASER is verified and this to one has not made the total payment, THE PURCHASER understands from now that he will be mere holder of said EQUIPMENT, or free depository with THE SELLER keeping the domain of the same, until the entire agreed price is canceled.

EIGHTH PARAGRAPH. NON-COMPLIANCE.- The contracting parties agree that the breach of the payment, or of any of the obligations acquired by this document THE BUYER will give the SELLER or who legally represent his right to represent, to terminate this contract, or to sue judicially its resolution, all in accordance with the relevant provisions of the Civil Code and the General Code of the Process and without such event THE SELLER is obliged to return to the BUYER the sums that he has paid as part of the price, which will remain of the SELLER for compensation of damages, which is now agreed. Likewise, it is at the choice of the SELLER to proceed in the manner indicated above, or to demand the obligations of the BUYER by executive means in which case this contract will be a sufficient surcharge title.

NINTH PARAGRAPH. DELIVERY: THE SELLER will deliver the EQUIPMENT to the BUYER, and BUYER will bear the shipping costs. The SELLER grants to the BUYER, the guarantee of the EQUIPMENT object of the sale and consequently, THE SELLER will replace the defective EQUIPMENT.

PARAGAFO TENTH. RISKS: From the material delivery of THE EQUIPMENT to THE PURCHASER, THE PURCHASER assumes the risks for the loss of the same. If said loss occurs due to theft, fire, accident, or any other cause that diminishes or causes them to lose their commercial value, THE PURCHASER will not be exempted from paying the total price of the EQUIPMENT, since all the risks are his responsibility and he will respond for any kind of fault and even the fortuitous case or force majeure. Nor may THE BUYER request, or claim remuneration for the deposit, or oppose the delivery of THE EQUIPMENT, alleging improvements, additions, repairs that have been made to them, since they all belong to the SELLER, until the total price has been paid, interest , expenses and fines, if there were any.

PARAGRAPH TENTH FIRST. GUARANTEE.- THE SELLER guarantees THE EQUIPMENT is of two (2) years counted from its installation. This guarantee will include the items specified in the Annex of Terms and Conditions that is attached with the delivery of the EQUIPMENT and that will be an integral part of this contract. The BUYER is expressly told that the guarantee will not be applicable or enforceable in the following cases.

• Due to expiration of the sales guarantee
• When the breakdown or damage of the EQUIPMENT is a consequence of the misuse or mishandling thereof by THE BUYER or its personnel.
• Due to the lack of care provided in the user manual or at the time of installation and / or training to THE BUYER or its personnel for its proper functioning.
• When the EQUIPMENT is not within the humidity and temperature ranges required by the manufacturer, which is detailed in the attached instruction manual with the EQUIPMENT and the descriptive brochures of the same.
• When the EQUIPMENT has been exposed to repair by third parties outside THE SELLER and that have not been authorized by the technical support department of THE SELLER.
• When the EQUIPMENT has suffered blows or has been exposed to harmful elements such as high temperatures, weather, humidity, paint, dust, solvents, rain.
• When the EQUIPMENT or its additional configuration has been by THE BUYER without prior authorization from the technical support department of THE SELLER.
• Due to high voltage problems caused, either by irregularities of the electrical fluid or by damage to electrical installations, external to the normal functioning of the EQUIPMENT.
• Damage or problems resulting from the inappropriate or incorrect use of the EQUIPMENT or by transfers of the same from its place of installation to another site without taking the necessary precautions to do so.

The EQUIPMENT guarantee does not extend to the consumables and supplies that THE BUYER must acquire for the proper use of the acquired goods.

PARAGRAPH TENTH SECOND: DATA PROTECTION.- In accordance with the provisions of Law 1581 of 2012, Decree 1377 of 2013 and Single Decree 1074 of 2015, the parties authorize the processing of their data for the exclusive purposes of this contract. In any case, this authorization may be extended or revoked at any time by the owner of the data, prior written in this regard addressed to the counterpart.

PARAGRAPH TENTH THIRD: CONFIDENTIALITY.- THE PURCHASER undertakes to keep absolute reservation about the information he knows about THE SELLER and that is necessary for the execution of the object of this contract, as well as of the other technical, commercial, economic and financial data, that I will get to know during its execution. The parties recognize the confidential nature of any personal data that is not of the public demon, that they come to know in the process of concluding and executing this contract and are obliged not to use it for their own or other people's benefit, nor to disclose it to any third party, without prior written permission of the party to which it belongs.
